Terms of Service

Last updated: 25 July 2026

These terms govern your use of this website and your engagement with Dhira Software Solutions ("Dhira", "we", "us"), whether as a prospective or current client, or as a freelancer applying to or participating in our network. By using this website or submitting a form, you agree to these terms.

This page is a template provided for general informational purposes and does not constitute legal advice. Review with qualified legal counsel before relying on it.

1. Description of services

Dhira Software Solutions is a software development and delivery partner. We scope, build or source through a vetted specialist network, and manage software engagements between businesses and the specialists who deliver them. Dhira is not a freelancer marketplace, staffing agency, or contractor directory: clients do not browse or directly select individual developers, and specialists are matched to engagements at Dhira's discretion following our vetting process.

2. Eligibility

You must be legally authorised to enter into a business relationship with Dhira to submit an enquiry or application. Business enquiries should be submitted by someone authorised to represent the business making the request.

3. Client engagements

When a client submits a brief, Dhira scopes the requirement, identifies an appropriate specialist from its vetted network, and manages delivery, communication, and quality assurance throughout the engagement. Specific terms for an engagement, including scope, fees, and timeline, are agreed separately once a brief has been scoped, and this website does not itself constitute an offer to contract on specific terms.

4. Freelancer applications

Submitting a freelancer application does not guarantee acceptance into the Dhira network. Every application is reviewed as part of our vetting process, which may include reference checks and further screening. Dhira may decline an application, or remove a freelancer from the network, at its discretion. Freelancers are responsible for ensuring the accuracy of the information and documents they submit.

5. Fees and payment

Fees for client engagements are agreed on a per-engagement basis and communicated separately from this website. This website does not currently process live payments; any payment or invoicing terms will be set out directly with you as part of scoping an engagement.

6. Intellectual property

This website, including its content, design, and the Dhira Software Solutions and ArbiMatch names and marks, is the property of Dhira or its licensors and may not be copied, reproduced, or used without prior written permission, except as necessary to use the website for its intended purpose.

7. Confidentiality

Information shared with Dhira as part of a business enquiry or engagement will be treated as confidential and used only to scope and deliver the relevant engagement, consistent with our Privacy Policy. Separate confidentiality terms may be agreed for specific engagements where appropriate.

8. Disclaimers and limitation of liability

This website and its content are provided on an "as is" basis without warranties of any kind, to the fullest extent permitted by applicable law. To the fullest extent permitted by law, Dhira will not be liable for any indirect, incidental, or consequential loss arising from use of this website or reliance on its content; nothing in these terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold Dhira harmless from claims arising out of your misuse of this website or breach of these terms, to the extent permitted by applicable law.

10. Termination

Dhira may suspend or terminate access to this website, or decline or end a freelancer's participation in the network, at its discretion, including for conduct that breaches these terms. Termination of a specific client engagement is governed by the terms agreed for that engagement.

11. Governing law and disputes

These terms are governed by the laws of South Africa, without regard to its conflict of laws principles. Any dispute arising from these terms or use of this website will be subject to the jurisdiction of the courts of South Africa, unless otherwise agreed in writing as part of a specific engagement.

12. Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of this website after changes take effect constitutes acceptance of the revised terms.
